Wenn jedoch von den Parteien kein Gesetz vereinbart wurde, wird das anwendbare Recht bei Verträgen zu Mobilien, Dienstleistungen oder Franchise/Vertrieb nach dem Sitz der Partei gewählt, die die charakteristische Leistung (Artikel 4 a) und b) erbringt; Beispiel: im Falle eines Kaufvertrages wäre dies der Sitz des Verkäufers.

If, however, no law is chosen by the parties, the law applicable to sales contracts in respect of movables, services or franchise/distribution will be determined by the domicile of the party providing the characteristic performance (Article 4 a) and b); example: in the case of a sales contract, this would be the vendor’s domicile.
