The maximum aggregate liability of the Sellers with respect to indemnification claims by the Buyer Indemnified Parties shall not exceed 50% of the Purchase Price; provided, however, that such limitation shall not apply to any losses arising out of or related to (i) any breach or inaccuracy of the Surviving Representations; (ii) any intentionally wrongful or fraudulent act or omission of any Seller; or (iii) claims under clauses (b) and (c) above.

Limitation of Liability. EXCEPT FOR ITS INDEMNITY OBLIGATIONS SET FORTH HEREIN, IN NO EVENT SHALL COMPANY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE AMOUNTS ACTUALLY PAID BY OR DUE FROM CUSTOMER FOR THE SERVICES UNDER THIS AGREEMENT IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

Außer für seine FREISTELLUNGSVERPFLICHTUNGEN HIERIN IST IN KEINEM FALL DES UNTERNEHMENS GESAMTHAFTUNG AUS ODER IN VERBINDUNG MIT DIESER VEREINBARUNG, OB IM VERTRAG, SCHULD ODER UNTER ANDEREN HAFTUNGSTHEORIE, den Betrag überschreiten, BY gezahlten oder geschuldeten VON KUNDEN FÜR DIE DIENSTLEISTUNGEN IM RAHMEN DIESER VEREINBARUNG IN den 12 Monaten vor dem Ereignis besteht, die Haftung.
