1. Definitions 1.1 “Affiliate”, means the Parties parent company and any company directly or indirectly controlled by such parent company. For the purpose of this definition the expression “controlled” means the ownership of 50% or more of the issued share capital or the legal power to direct or cause to direction of the general management of the company, partnership or other entity in question whether by share ownership, contract or otherwise; 1.2 “Agreement”, means this Agreement as specified in the Form of Agreement; 1.3 “Confidential Information”, means the Information as specified in Article 10 hereof; 1.4 “Defect, means the Defect as described in Article 9 hereof; 1.5 “Delivery”, means the Delivery of the work, goods or services as specified

Für die Zwecke dieser Definition der Begriff "kontrolliert" bedeutet das Eigentum von 50% oder mehr des ausgegebenen Grundkapitals oder den rechtlichen Befugnis zu leiten oder führen in Richtung der allgemeinen Leitung des Unternehmens, Personengesellschaft oder eines anderen in Frage, ob durch Aktienbesitz, Vertrag oder anderweitig, 1,2 "Abkommen" das vorliegende Abkommen, wie in der Form des Abkommens; 1,3 "Vertrauliche Informationen" bedeutet die Informationen wie in Artikel 10 dieser Satzung festgelegt; 1,4 "Defect, bedeutet das Defect im Sinne des Artikels beschrieben 9 aufgekündigt, 1,5 "Delivery", bedeutet die Lieferung der Arbeit, Waren oder Dienstleistungen wie angegeben

For the purpose of this Agreement, “Affiliate” means any person or entity which is, now or hereafter, part of the Evotec Group. “Evotec Group” means Evotec AG and all entities directly or indirectly controlled by, or under common control with EVOTEC AG; whereby “control” means the legal power to direct or cause the direction of the general management and policies of such entity whether through the ownership of more than fifty percent (50%) of the voting interest, by contract or otherwise.

Für die Zwecke dieses Abkommens bedeutet "Affiliate" jede natürliche oder juristische Person, die jetzt oder in Zukunft ein Teil der Evotec-Gruppe. "Evotec-Gruppe" bedeutet Evotec AG und alle Unternehmen, die direkt oder indirekt durch oder unter gemeinsamer Kontrolle mit EVOTEC AG gesteuert; wobei "Kontrolle" die rechtliche Befugnis zu leiten oder bewirken, dass die Richtung der allgemeinen Verwaltung und Politik über diese Stelle, ob durch die Besitz von mehr als fünfzig Prozent (50%) der Stimmrechte, durch Vertrag oder auf andere Weise.
