In the event that the Anticipated Chopin Disposition does not take place and close on or before December 31, 2013, then the principal balance owed by the Company pursuant to the WKN Loan shall, automatically and immediately, be reduced by an amount (the “Chopin Loan Reduction Amount”) equal to the lesser of (A) the Maximum Chopin Reduction Amount and (B) the remaining outstanding principal balance of the WKN Loan; provided that, the Chopin Loan Reduction Amount plus the WKN Contribution Amount plus the Vivaldi Loan Reduction Amount plus the WKN Vivaldi Contribution Amount shall not exceed the Maximum Vivaldi Reduction Amount. The “Maximum Chopin Reduction Amount” shall equal $3 million.

In August, the 30+ delinquency rate declined 21 bps to 10.13%, from 10.34% in July. This was the first decline in overall CMBS delinquencies since Feb-2012. The main drivers of this improvement were the high amount of loans resolved by special servicers and the smaller volume of maturing 5-year 2007 vintage loans in August, as compared to July. The $1.5 bio in loans resolved by special servicers exceeded the decline in the outstanding principal balance of CMBS loans.
