G The Sales Directors will only be eligible for the bonus plan as follows: • The BPI Board of Directors Goals are achieved o BS $100M o Profit of $375k o Sales of $95M • BS reduction bonus calculation is only based on the reduction of Equipment presently contained in the BPI balance sheet as of July 31st 2012 o All BS reductions shall be in addition to the $95M sales goal  A $5M balance sheet reduction, will result in additional sales of $5M; for a total sales of $100M • And the BS is thereby reduced to $95M o BS reductions in total cannot detract from the BPI Net financial results.  BS reductions can be sold at or below cost, but the aggregate total must be greater than $0 • The BS reduction is the result of sales and does not include any special actions taken by the BPI senior management or BMA to reduce the balance sheet
