No amendment to this Confidentiality Agreement (inclusive this Article 8) shall be valid and binding upon any of the PARTIES hereto unless made in writing and duly signed by the authorized representatives of the PARTIES. 9. This Confidentiality Agreement shall be construed and interpreted and its performance governed by the substantive laws of Germany without recourse to any conflict of laws principles.

Keine Änderung dieser Vertraulichkeitsvereinbarung (inklusive dieses Artikels 8) sind gültig und bindend jede der Parteien, sofern sie schriftlich erfolgen und ordnungsgemäß von den bevollmächtigten Vertretern der Vertragsparteien unterzeichnet. 9. Diese Vertraulichkeitsverpflichtung auszulegen und zu interpretieren und seine Leistung dem materiellen Recht der Bundesrepublik Deutschland ohne Rückgriff auf jegliche Kollision von Gesetzen.

The confidentiality obligations shall come into force upon signature by the RECIPIENT and shall continue to be effective in any case – without prejudice to Clause 4 – without time limit. 9. This Declaration is subject to substantive German Law. All disputes arising in connection with the Agreement or its validity shall be finally settled according to the Arbitration Rules of the German Institution of Arbitration e.V. (DIS) without recourse to the ordinary courts of law. 10. The invalidity or unenforceability of any provision of this Declaration shall not affect the validity of the remaining provisions. If any provision proves to be invalid or unenforceable, the RECIPIENT shall replace the invalid or unenforceable provision by a valid new one having an economic effect as close as possible to the invalid or unenforceable provision and acceptable to ABB.

Die Geheimhaltungspflichten tritt nach Unterzeichnung durch den Empfänger und wird auch weiterhin wirksam zu sein in jedem Fall - unbeschadet des § 4 - ohne zeitliche Begrenzung. 9. Diese Erklärung unterliegt materielles deutsches Recht. Für alle Streitigkeiten im Zusammenhang mit dem Vertrag oder seiner Gültigkeit ergeben, werden nach der Schiedsordnung der Deutschen Institution für Schiedsgerichtsbarkeit eV (DIS) unter Ausschluss des ordentlichen Rechtsweges endgültig entschieden. 10. Die Unwirksamkeit oder Undurchführbarkeit einer Bestimmung dieser Erklärung berührt nicht die Wirksamkeit der übrigen Bestimmungen. Sollte eine Bestimmung unwirksam sein oder undurchführbar sein, hat der Empfänger die ungültige oder nicht durchsetzbare Bestimmung durch eine wirksame neue, die einen wirtschaftlichen Effekt so nah wie möglich an die unwirksamen oder undurchführbaren Bestimmung und akzeptabel zu ABB zu ersetzen.
