(17) Drumet submitted comments and requested to be heard orally. The company submitted a legal opinion emitted by a professor of law of the country in which the importer is located which stated that under this type of trusteeship agreement, the trustor is to be considered as the economic owner of the shares. It was therefore submitted that the importer's Managing Director, through the trusteeship agreement, had obtained the economic ownership over the importer. During a hearing it was however not denied by Drumet's representatives that the transfer of shares had not been officially transferred before October 2002 which implied that Drumet's main shareholder continued to be the formal owner of the importer until that date. The argument was therefore rejected.

(17) Drumet reichte eine Stellungnahme ein und beantragte eine Anhörung. Das Unternehmen unterbreitete ein Rechtsgutachten eines Professors für Rechtswissenschaften des Landes, in dem das einführende Unternehmen angesiedelt ist, in dem es heißt, dass im Rahmen dieser Art von Treuhandvertrag der Treuhänder als wirtschaftlicher Eigentümer der Anteile anzusehen ist. Es wurde somit geltend gemacht, dass der geschäftsführende Direktor über den Treuhandvertrag die wirtschaftliche Sachherrschaft über das einführende Unternehmen erworben habe. Im Rahmen einer Anhörung stritten die Vertreter von Drumet allerdings auch nicht ab, dass der Aktientransfer offiziell erst im Oktober 2002 erfolgte, woraus zu schließen ist, dass der Hauptanteilseigner von Drumet bis Oktober weiterhin der offizielle Inhaber des einführenden Unternehmens war. Das Argument wurde daher zurückgewiesen.

7. The Parties agree that the owner of all confidential information is only FIDLOCK. Under the agreement, acquires no rights to such Party II confidential information unless it is expressly agreed by contract. Party II will not question the right of ownership of FIDLOCK to the confidential information. Party II acknowledges that all confidential information are FIDLOCKs protected legal interests and may not be used without the consent of FIDLOCK in any way whatsoever.
